Aristocrat, a highly reputable iGaming giant from Australia, has launched a bid to acquire a well-respected platform provider, Playtech. The bold all-cash offer amounts to $2.9bn (fully diluted basis) and roughly $3.72bn (enterprise value).
The per-share cash price is $0.94 and it is a premium of about 58% on the closing price (mid-October 2025). The Australian company has already received the necessary letters of intent from certain Playtech shareholders.
They hold 20.7% of the shares, and the board has already recommended the remaining shareholders to vote for the purchase.
According to the Australian enterprise, the company expects this acquisition to speed up its expansion strategy and bring about various other benefits.
They include the “material scale“ in $70bn online gambling, which will bring them higher earnings and more customers. They expect to expand their global footprint by entering various European markets completely conflict-free across the whole value chain.
Aristocrat has noted during the investor presentation the expected GGR from RMG will have reached $112m by 2025. The purchase will certainly accelerate the entire process.
The company wants to help the purchase by funding it with $816m in existing cash and $965 million in equity via an entitlement offer.
A $2.05bn term loan is also in store, and the deal is obviously on the horizon. However, the official confirmation from Playtech is yet to be announced.
Commenting on the acquisition, Aristocrat CEO, Trevor Croker, stated:
The proposed combination would bring together Aristocrat’s world-class gaming content and customer and regulatory relationships with Playtech’s industry leading global online RMG (real money gaming) platform (B2B) and European B2C footprint. The combined group would offer a broad portfolio of end-to-end solutions for gaming customers around the world, as well as seamless player experiences, underpinned by a shared focus on responsible gameplay and innovation.
